Introduction and Acceptance of Terms

Welcome to HappyShrimp, an AI music generation platform available at happyshrimp.homes. By accessing or using the service you agree to be bound by these Terms of Service. If you do not agree with any part of them, please do not use the service.

Use of the Service

HappyShrimp lets you describe a song in text and generates a complete track - lyrics, arrangement, vocals and production - that you can play, download and keep. You agree to use the service in accordance with all applicable local, national and international laws and regulations.

User Accounts and Registration

1. Account Creation: You sign in with a Google account. You must provide accurate information and you are responsible for the accuracy of the details associated with your account.

2. Account Security: You are responsible for maintaining the confidentiality of your Google account credentials and for all activity that occurs under your HappyShrimp account.

3. User Responsibilities: Notify us immediately at support@happyshrimp.homes if you become aware of any unauthorised use of your account.

4. One Person, One Account: Accounts are personal. Do not share, sell or transfer access to your account, and do not create multiple accounts to obtain free credits repeatedly.

Your Content and Generated Music

• You keep ownership of what you bring. You retain all rights to the lyrics, prompts and other material you submit to HappyShrimp.
• You own your generations. Subject to your compliance with these Terms and the validity of your credits or subscription, you may use the songs you generate - including commercially - under the plan you purchased.
• You are responsible for your content. You confirm that the material you submit does not infringe anyone else's rights, and that you will not use HappyShrimp to generate content that is unlawful, defamatory, or that imitates the voice or likeness of a real person without their permission.
• Licence to us. You grant HappyShrimp the limited licence needed to process your input, generate your output, store your files and operate the service.

Prohibited Activities

You agree not to:

• Use the service for any illegal or unauthorised purpose
• Submit content that infringes copyright, trademark, privacy or publicity rights
• Attempt to impersonate a specific artist, or clone the voice of a real person without consent
• Interfere with, overload or disrupt the security or performance of the service
• Attempt to bypass credit limits, payment, rate limits or any other security feature
• Access the service by automated means other than the APIs we make available
• Resell or redistribute access to the service without authorisation

We may suspend or terminate accounts that breach these rules.

Privacy and Data Collection

HappyShrimp collects account information, usage details, device information, cookies and payment records. The full detail of what we collect and why is set out in our Privacy Policy.

Pricing, Credits and Payments

• HappyShrimp runs on credits. Generating a song consumes credits, and the amount depends on the generation type.
• Credits are sold as one-off packs and are included with monthly and annual subscription plans. Current prices are shown on the pricing page.
• Prices are subject to change. Where a subscription price changes, we will give notice to affected subscribers before the change takes effect.
• Subscriptions renew automatically until cancelled, and you can cancel at any time from Billing. Cancellation stops future renewals; it does not refund the current period.
• Purchases are final and non-refundable except where required by law. If something went wrong with a payment or credits did not arrive, contact support@happyshrimp.homes and we will put it right.
• Attempting to obtain credits without paying - including through chargeback abuse or payment fraud - will result in account termination.

Service Availability and Changes

We may add, change or remove features, models and generation options at any time. We aim to keep the service available, but we do not guarantee uninterrupted access and we may take the service down for maintenance.

Termination

We may suspend or terminate your access to the service, at our discretion and without notice, for conduct that we believe violates these Terms or is harmful to other users, to us or to third parties. You may stop using the service at any time. Sections on intellectual property, disclaimers and limitation of liability survive termination.

Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. We make no warranties or representations about the accuracy, reliability or availability of the service, or that AI-generated output will be free of errors or fit for a particular purpose, and we disclaim all warranties to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, HappyShrimp shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising from your use of or inability to use the service. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless HappyShrimp, its affiliates and their respective officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses - including reasonable legal fees - arising from your use of the service, the content you submit, or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which HappyShrimp operates, without regard to conflict of law provisions. Disputes arising from these Terms or the service will be resolved through binding arbitration in accordance with applicable laws, unless local law gives you the right to bring proceedings in your own courts.

Changes to These Terms

We may update or modify these Terms at any time. Changes take effect when posted on this page and the date below is updated. Continued use of the service after a change means you accept the revised Terms.
